Terms and Conditions

1. Acceptance

By registering, signing in, paying for a subscription, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and the Privacy Policy.

If you act on behalf of an organization, you represent that you have authority to bind it. The Service is intended for individuals aged 18 or older with legal capacity. If you do not agree, do not use the Service.

2. The Service

aiStructEdit is an online tool for structuring AI agent instructions, prompts, and documents. Features may change, be added, or discontinued without prior notice unless required by law.

The Service does not provide legal, medical, financial, or other professional advice. AI outputs, analysis, and exports are informational only; you make your own decisions.

3. Account and security

Cloud features and subscriptions require registration. You must provide accurate information, keep your password secure, and not share access with others.

You are fully responsible for all activity under your account, including by anyone who gained access through your fault. If you suspect compromise, change your password and contact us immediately.

4. Plans and limits

Free, Pro, and Ultra plans offer different limits. Current limits, prices, and features are shown in the Service UI and may change.

On the Free plan, data may be stored locally in your browser. We do not guarantee local data if storage is cleared or you change devices or browsers. Backup is your responsibility.

5. Payments and refunds

Paid plans are billed in USDT on the TRC20 (Tron) network. You must send the exact amount to the stated address within the order window. The subscription activates after on-chain confirmation for 30 calendar days unless stated otherwise.

Cryptocurrency payments are irreversible. Digital subscription access constitutes delivery of the service upon plan activation. Refunds are not provided except where mandatory law requires or we, at our sole discretion, confirm a Service-side technical error.

Network fees, exchange rate changes, wrong address, wrong network, or wrong amount are your risk. We are not liable for blockchain-related losses.

6. User content

You retain ownership of content you create. You grant us a worldwide, non-exclusive, royalty-free license to store, reproduce, process, and display content solely to operate the Service, backup, and provide support.

You warrant that you have all rights to your content and that it complies with law. You must not upload third-party personal data without a legal basis, trade secrets, or materials that infringe intellectual property.

7. AI and third-party services

AI features require your API keys and calls to third-party providers. We do not control or guarantee the accuracy, completeness, or legality of model outputs.

Sending data to AI providers is at your initiative and risk. Your relationship with providers is governed by their terms. We are not liable for their actions, outages, billing, or account restrictions.

8. Acceptable use

You must not:

• violate law, third-party rights, or these Terms;
• attempt unauthorized access, scan, overload, or disrupt the Service;
• circumvent plan limits, technical restrictions, or security measures;
• distribute malware, spam, fraud, or unlawful content;
• use the Service to create harmful content or for unlawful automation;
• resell, sublicense, or provide access to the Service without our written consent.

9. Service intellectual property

Software, design, trademarks, logos, and Service materials (excluding your content) belong to aiStructEditor or licensors and are protected by law. Copying, modification, reverse engineering, or commercial use without permission is prohibited.

10. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.

We do not warrant data preservation, error-free operation, freedom from viruses, or suitability for your goals. You use the Service at your own risk.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, or consequential damages, lost profits, data, reputation, content, or business, or for AI errors, blockchain, hosting, or third-party API failures — regardless of legal theory and even if we were advised of the possibility.

Total liability of aiStructEditor for any claims relating to the Service is limited to the greater of: (a) amounts you paid for subscriptions in the 12 months before the event; (b) USD 50. This cap does not apply where prohibited by mandatory law.

12. Indemnification

You agree to indemnify, defend, and hold harmless aiStructEditor and related parties from any claims, damages, fines, costs, and expenses (including reasonable legal fees) arising from: (a) your content; (b) your breach of these Terms or law; (c) your use of the Service; (d) third-party claims related to your conduct.

13. Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control: internet or hosting outages, blockchain failures, DDoS, government action, natural disasters, war, labor disputes, and similar events.

14. Suspension and termination

We may suspend or terminate access or accounts at any time for Terms violations, suspected fraud or abuse, non-payment, or legal requirements — with or without notice where necessary for security.

After termination, cloud data may be deleted. Sections on liability limits, indemnification, and dispute resolution survive.

15. Changes to Terms

We may update these Terms. The current version is published on this page. Material changes may also be communicated through the Service. Continued use after changes take effect constitutes acceptance unless prohibited by law.

16. Claims and disputes

Before filing in court or another forum, you agree to send a written claim to legal@aistructedit.com and allow us at least 30 calendar days for informal resolution.

These Terms are governed by the laws applicable to aiStructEditor's operation, subject to mandatory consumer protections in your country. Unresolved disputes may be brought before a competent court unless mandatory law provides otherwise.

To the extent permitted by law, you waive participation in class or representative actions against us.

17. Limitation period

Any claim relating to the Service must be brought within one (1) year after you knew or should have known of the facts giving rise to the claim, unless a longer period is required by mandatory law.

18. Miscellaneous

If any provision is invalid, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign your rights without our consent; we may assign in connection with reorganization or transfer of the Service.

These Terms and the Privacy Policy are the entire agreement between you and aiStructEditor regarding the Service. Electronic notices and consents are legally effective.
